Wisher Performance Dealer Agreement
Effective Date: April 3, 2026

This Dealer Agreement (“Agreement”) is entered into between Wisher Performance LLC (“Wisher Performance”) and the approved dealer (“Dealer”).

By submitting a dealer application and being approved, Dealer agrees to the following terms:

1. Dealer Status & Approval

Wisher Performance partners with a limited number of performance shops and dealers. Approval is granted at our sole discretion and may be revoked at any time.

Dealer agrees to represent Wisher Performance products professionally, accurately, and in alignment with brand standards.

2. Pricing & Discount Structure

All approved dealers begin at a 10% discount off retail pricing.

Apparel & Gear:
All apparel and gear are capped at 10% dealer pricing. No additional discounts apply.

Dealer discount tiers are based on sales performance:

• Tier 1: 10% (Default starting level)
• Tier 2: 20% (Performance-based tier)

Tier Advancement:
Dealer becomes eligible for a 20% discount after reaching $5,000 in total sales within a 90-day period.

Tier Maintenance:
To maintain 20% status, Dealer must generate at least $3,000 in sales every 90 days.

If Dealer does not meet the required sales volume within the evaluation period, their discount will revert to 10%.

Wisher Performance reserves the right to adjust discount tiers, thresholds, or structure at any time.

3. Dealer Activity Requirement

Dealer status is intended for active partners representing and selling Wisher Performance products.

Dealers who show no sales activity for a period of 6 months may have their dealer account deactivated or removed at Wisher Performance’s discretion.

Deactivated dealers may reapply at any time for reconsideration.

4. Ordering, Payment & Pricing Policy

All orders must be paid in full prior to shipment unless otherwise agreed in writing.

Dealer pricing is strictly for resale purposes.

Dealer may not advertise or sell Wisher Performance products below the established retail price without prior written approval. This includes websites, social media, marketplaces, and any public listings.

5. Brand Representation

Dealer agrees to:

• Accurately represent product functionality and intended use
• Avoid misleading claims, guarantees, or performance promises
• Maintain a professional presence consistent with Wisher Performance standards

6. Product Use & Installation

Dealer is responsible for proper installation and tuning practices.

Wisher Performance is not liable for:

• Improper installation
• Incorrect calibration or tuning
• Damage resulting from misuse, inadequate fuel supply, or incompatible setups

7. Returns & Warranty

All sales are subject to Wisher Performance’s posted policies:

• Opened or installed products are not eligible for return
• Software and calibration services are non-refundable
• Any defects must be reported within 7 days of delivery

8. Termination

Wisher Performance reserves the right to terminate dealer status at any time for:

• Misrepresentation of products
• Violation of pricing policies
• Inactivity or lack of sales performance
• Any behavior that may negatively impact the brand

9. Agreement Acknowledgment

By being approved as a dealer, Dealer acknowledges and agrees to all terms outlined above.

Continued purchasing, ordering, or participation as a Wisher Performance dealer constitutes full acceptance of these terms.
