Wisher Performance Dealer Agreement

Effective Date: July 11, 2026

This Dealer Agreement (“Agreement”) is entered into between Wisher Performance LLC (“Wisher Performance”) and the approved dealer (“Dealer”).

By submitting a dealer application, being approved, placing dealer orders, or participating in the Wisher Performance dealer program, Dealer agrees to the following terms:

1. International Dealer Status & Approval

Wisher Performance partners with a limited number of performance shops, dealers, and businesses.

Approval is granted at Wisher Performance’s sole discretion and may be denied, paused, or revoked at any time.

Dealer agrees to represent Wisher Performance products professionally, accurately, and in alignment with Wisher Performance brand standards.

Approved  international dealer accounts begin at the 10% dealer pricing tier and remain subject to the qualification requirements outlined below. 

2. International Dealer Qualification

Once an international dealer application is approved, Dealer will receive 10% dealer pricing on eligible Wisher Performance products.

Dealer must purchase three qualifying AuxJection kits cumulatively within 90 days of approval to qualify for the 20% dealer pricing tier.

A single three-kit buy-in order is not required. Qualifying kits may be purchased across multiple orders during the 90-day qualification period to help reduce the upfront burden of international shipping, duties, and import-related costs.

Once Dealer has purchased three qualifying AuxJection kits, Dealer will be moved to the 20% dealer pricing tier.

If Dealer does not complete the qualification requirement within 90 days of approval, Wisher Performance may deactivate the dealer account and remove dealer pricing and dealer-related privileges.

Wisher Performance reserves the right to determine which products qualify toward international dealer requirements.

3. International Dealer Pricing

Approved international dealers begin at 10% dealer pricing on eligible Wisher Performance products.

Once Dealer has purchased three qualifying AuxJection kits cumulatively within the initial 90-day qualification period, Dealer will be moved to the 20% dealer pricing tier.

To maintain 20% dealer pricing, Dealer must generate at least $3,000 USD, or the equivalent amount in the Dealer’s assigned currency, in qualifying Wisher Performance product sales every 90 days.

If Dealer does not meet the required sales amount within a 90-day period, Dealer pricing will return to the 10% dealer tier.

Dealer may return to 20% dealer pricing by reaching the required qualifying sales amount within a new 90-day period.

Merchandise is capped at 10% dealer pricing.

Dealer pricing is strictly for resale purposes and approved business use. Dealer pricing may not be used for unauthorized personal purchases, group buys, pass-through discounts, or purchases on behalf of non-approved dealers.

Wisher Performance reserves the right to adjust dealer pricing, discount structure, eligibility, qualifying products, currency assignments, or product exclusions at any time.

4. Dealer Activity Requirement

Dealer status is intended for active businesses representing and selling Wisher Performance products.

Dealers who show no qualifying sales activity for a period of 6 months may have their dealer account removed or deactivated at Wisher Performance’s discretion.

Deactivated dealers may reapply at any time for reconsideration.

5. Ordering, Payment, Shipping, and Import Costs

All dealer orders must be paid in full before shipment unless otherwise agreed in writing by Wisher Performance.

Dealer is responsible for providing accurate billing, shipping, business, and customs information.

International shipping rates vary by destination and are displayed at checkout.
Dealer is responsible for the shipping amount charged at checkout.

Wisher Performance does not cover or reimburse duties, import taxes, customs fees, brokerage fees, currency conversion fees, or other international charges.

Dealer is responsible for all additional charges assessed on the order.

Dealer is responsible for complying with all import, customs, tax, and regulatory requirements applicable in the destination country.

Wisher Performance products may not be sold, shipped, advertised, or distributed into restricted locations where Wisher Performance does not currently offer products.

6. Advertising and Pricing Policy

Dealer may not advertise or sell Wisher Performance products below the established retail price without prior written approval from Wisher Performance.

This applies to websites, social media, marketplaces, forums, private group posts, public listings, invoices, quotes, and promotional materials.

Dealer may not advertise unauthorized discounts, coupon codes, bundles, giveaways, or promotions involving Wisher Performance products without written approval.

Dealer may not misrepresent pricing, availability, product fitment, product function, expected results, or dealer status.

7. Brand Representation

Dealer agrees to:

• Accurately represent product functionality and intended use
• Avoid misleading claims, guarantees, or performance promises
• Maintain a professional presence consistent with Wisher Performance standards
• Use approved Wisher Performance product names, descriptions, and media when available
• Avoid presenting themselves as an owner, employee, official representative, or exclusive distributor of Wisher Performance unless approved in writing

Dealer may not use Wisher Performance logos, product photos, product descriptions, technical information, or branding in a misleading or unauthorized manner.

8. Product Use, Installation, and Modification

Dealer is responsible for proper product installation, setup, calibration, tuning, and customer support related to their installation services.

Wisher Performance products must be sold and represented in their approved configuration.

Dealer may not modify, repackage, relabel, substitute components, or sell Wisher Performance systems with non-approved fuel line assemblies, hardware, fittings, wiring, or alternate components unless approved in writing by Wisher Performance.

Wisher Performance is not liable for:

• Improper installation
• Incorrect calibration or tuning
• Misuse or abuse
• Inadequate fuel supply
• Incompatible setups
• Modified or substituted components
• Damage resulting from dealer installation, tuning, or customer use

9. Returns, Defects, and Warranty

All sales are subject to Wisher Performance’s posted policies.

Opened, installed, modified, or used products are not eligible for return.

Software, calibration services, digital products, and custom services are non-refundable.

Any defects, missing items, shipping damage, or order issues must be reported within 7 days of delivery.

Dealer is responsible for inspecting all orders upon receipt.

Products that have been modified, installed, damaged, tampered with, or used outside their intended application are not eligible for return consideration.

10. Taxes, Duties, and Business Documentation

Dealer is responsible for providing accurate and valid business, tax-registration, VAT, GST/HST, resale, or other identification information where applicable.

Approval as a Wisher Performance dealer does not automatically establish eligibility for tax-exempt purchases.

Wisher Performance will collect taxes where required by applicable law.

Dealer is responsible for all destination-country duties, import taxes, VAT, GST/HST, customs fees, brokerage fees, use taxes, and other obligations related to the purchase, importation, resale, or use of Wisher Performance products.

Dealer is responsible for the accuracy and validity of all tax and business documentation provided.

11. Termination

Wisher Performance reserves the right to terminate, pause, or revoke dealer status at any time for reasons including, but not limited to:

• Failure to complete the international dealer qualification requirement within 90 days of approval
• Misrepresentation of products
• Violation of pricing policies
• Unauthorized discounts or promotions
• Unauthorized product modification or component substitution
• Extended inactivity or lack of qualifying sales activity
• Unprofessional conduct
• Any behavior that may negatively impact Wisher Performance, its products, or its brand reputation
• Failure to pay duties, customs fees, import taxes, or other international charges
• Providing inaccurate business tax, shipping, or customs information
• Violating import, export, or destination-country requirements

Upon termination, Dealer loses access to dealer pricing, dealer status, and any dealer-related privileges.

12. Agreement Acknowledgment

By submitting a dealer application, being approved, placing dealer orders, or continuing to participate as a Wisher Performance dealer, Dealer acknowledges and agrees to all terms outlined above.

Wisher Performance reserves the right to update, modify, or replace this Agreement at any time.

Continued purchasing, ordering, or participation as a Wisher Performance dealer constitutes full acceptance of these terms.
